How would the fate of a startup change if the rules of the game were different? This thesis aims to investigate, through a comparative legal analysis, the financial instruments designed for innovative startups across the European regulatory landscape, with a particular focus on Italy and taking the U.S. system as a benchmark. Regulation is not just bureaucracy but an element that shapes investor behaviour in allocating capital and consequently, in the development, growth and exit of an innovative startup. The comparative angle will highlight divergences and convergences between the European/Italian approach and the U.S. market, examining which regulatory choices appear to lower perceived risk, increase liquidity and enhance expected returns for investors while preserving incentives for founders. The objective is to evaluate the possible adaptability of certain regulatory elements of the U.S. model to the European Union context and identify any regulatory issues that could prevent more efficient access to capital for startups.

Questo lavoro di tesi si propone di indagare, attraverso un'analisi giuridica comparata, gli strumenti finanziari concepiti per le startup innovative all'interno del panorama regolamentare europeo, con un focus particolare sull'Italia e assumendo il sistema statunitense come modello di riferimento (benchmark). La regolamentazione non è mera burocrazia, bensì un elemento che plasma il comportamento degli investitori nell'allocazione dei capitali e, di conseguenza, lo sviluppo, la crescita e l'uscita (exit) di una startup innovativa. La prospettiva comparatistica metterà in luce divergenze e convergenze tra l'approccio europeo/italiano e il mercato statunitense, esaminando quali scelte normative appaiano in grado di ridurre il rischio percepito, incrementare la liquidità e migliorare i rendimenti attesi per gli investitori, preservando al contempo gli incentivi per i fondatori. L'obiettivo è valutare la potenziale adattabilità di determinati elementi regolamentari del modello USA al contesto dell'Unione Europea e identificare eventuali criticità normative che possano ostacolare un accesso al capitale più efficiente per le startup.
