This thesis examines whether Bending Spoons S.p.A. should be classified as a technology firm, a private equity-style acquisition platform, or a hybrid of the two. The analysis combines literature on leveraged buyouts, knowledge-intensive firms, and profitability and leverage metrics with IFRS financial data and market disclosures. The results show Bending Spoons’ evolution from an asset-light, low-debt software company into a highly leveraged acquisition platform with a three-tier corporate structure and a serial acquisition strategy. However, its software revenue model, high intangible intensity, and lack of a true fund structure prevent it from being treated as a traditional private equity firm. The thesis concludes that Bending Spoons is best described as a tech-private equity hybrid.
Questa tesi analizza se Bending Spoons S.p.A. debba essere classificata come impresa tecnologica, piattaforma di acquisizione di tipo private equity, oppure come un ibrido tra le due. L’analisi combina letteratura su leveraged buyout, imprese knowledge-intensive e indicatori di redditività e leva finanziaria, con dati IFRS e informazioni di mercato relativi al gruppo. I risultati mostrano l’evoluzione di Bending Spoons da software house asset-light e poco indebitata a piattaforma di acquisizione fortemente leveraged, con una struttura societaria a tre livelli e una strategia di serial acquisition. Tuttavia, il modello di ricavi software, l’elevata intensità di intangibili e l’assenza di una vera struttura da fondo impediscono di assimilarla a un private equity tradizionale. La tesi conclude che Bending Spoons rappresenta un tech-private equity hybrid.
