The main regulatory and legal developments are examined, with an in-depth analysis of the challenges related to the attribution of rights and duties to automated legal entities, as well as to data protection and the prevention of discriminatory or ethically problematic behaviors. Finally, the thesis discusses the future of corporate law, suggesting possible regulatory solutions to effectively integrate AI into the business landscape, balancing innovation and legal certainty.

La presente tesi esplora le opportunità e i rischi derivanti dall'intelligenza artificiale (IA) nel contesto del diritto societario. L'analisi si concentra sul potenziale dell'IA di innovare e ottimizzare i modelli di business, le strategie aziendali e la gestione societaria, ma anche sui rischi legati alla responsabilità legale, alla governance e alla tutela dei diritti degli stakeholders. Vengono esaminati i principali sviluppi normativi e giuridici, con un approfondimento delle sfide legate all'attribuzione di diritti e doveri alle entità giuridiche automatizzate, nonché alla protezione dei dati e alla prevenzione di comportamenti discriminatori o eticamente problematici.
