Developments in the regulatory, technological, and economic landscape have led to a gradual transformation of the tax function, which has taken on an increasingly important role in corporate governance and risk management processes. The growing complexity of tax regulations, combined with the digitalization of business processes and the rise of cooperative compliance models, has required organizations to adopt operating frameworks capable of ensuring regulatory compliance, operational efficiency and effective tax risk control. This thesis analyses the evolution of the tax function and explores the role of Tax Governance, Tax Risk Management and the Tax Control Framework in the development of an integrated corporate tax management system. It also focuses on the key drivers of of tax function transformation, including Tax Transformation, Tax Technology, process digitalization and the application of Artificial Intelligence. The analysis highlights how these elements converge within the Tax Operating Model, understood as an organizational framework that integrates people, processes, data, and technologies into a unified governance and control system. From this perspective, the Tax Operating Model represents the evolution of traditional tax management approaches, fostering greater integration between compliance, internal control and decision-making support. Finally, the study shows that the adoption of an advanced Tax Operating Model strengthens tax risk management, improves process efficiency and enhances organizations’ ability to adapt to regulatory and technological changes. Consequently, it can be considered a strategic lever for value creation and for achieving long-term competitiveness and sustainability.
L’evoluzione del contesto normativo, tecnologico ed economico ha determinato una progressiva trasformazione della funzione fiscale, che ha assunto un ruolo sempre più rilevante nei processi di governance e gestione del rischio aziendale. La crescente complessità della normativa tributaria, unitamente alla digitalizzazione dei processi e all’affermazione di modelli di cooperative compliance, richiede infatti l’adozione di sistemi organizzativi capaci di garantire conformità normativa, efficienza operativa e controllo dei rischi fiscali. La presente tesi analizza l’evoluzione della funzione fiscale ed approfondisce il contributo della Tax Governance, del Tax Risk Management e del Tax Control Framework nella costruzione di un sistema integrato di gestione della fiscalità d’impresa. L’attenzione è inoltre rivolta ai principali fattori di trasformazione della funzione fiscale, tra cui la Tax Transformation, la Tax Technology, la digitalizzazione dei processi e l'applicazione dell’Intelligenza Artificiale. L’analisi evidenzia come tali elementi convergano nel Tax Operating Model, inteso come assetto organizzativo in grado di integrare persone, processi, dati e tecnologie all’interno di un framework unitario di governance e controllo. In tale prospettiva, il Tax Operating Model rappresenta l’evoluzione dei tradizionali sistemi di gestione fiscale, favorendo una maggiore integrazione tra compliance, controllo interno e supporto alle decisioni aziendali. I risultati dell'analisi mostrano come l’adozione di un Tax Operating Model evoluto consenta di rafforzare il presidio del rischio fiscale, migliorare l’efficienza dei processi ed accrescere la capacità delle imprese di adattarsi ai cambiamenti normativi e tecnologici. Esso si configura pertanto come una leva strategica per la creazione di valore e per il perseguimento della competitività e della sostenibilità nel lungo periodo.
