Generational transfer within family businesses is one of the most delicate and significant challenges for the Italian economy, where family-owned enterprises largely prevail. This thesis explores two key legal instruments designed to ensure business continuity: the family pact, regulated by the Italian Civil Code, and the trust, an Anglo-Saxon institution increasingly adopted in the Italian context. After outlining the peculiarities of the Italian framework and the need for strategic planning, the research provides a comparative analysis of the civil law, tax, and practical aspects of both instruments, highlighting their strengths, limitations, and potential in managing succession. The study emphasizes the pivotal role of professionals – particularly the Chartered Accountant – as mediators between family, business, and legal interests, stressing that business succession should not be regarded as a single event but as a strategic process aimed at preserving and enhancing the entrepreneurial heritage.
Il passaggio generazionale nelle imprese familiari rappresenta una delle sfide più delicate e rilevanti per l’economia italiana, caratterizzata da una predominanza di family business. L’elaborato analizza due strumenti giuridici fondamentali per garantire la continuità aziendale: il patto di famiglia, disciplinato dal Codice civile, e il trust, istituto di matrice anglosassone ormai diffuso anche nel nostro ordinamento. Dopo aver delineato le peculiarità del contesto italiano e la necessità di una pianificazione strategica, la tesi esamina in chiave comparativa gli aspetti civilistici, fiscali e applicativi dei due istituti, evidenziandone punti di forza, criticità e potenzialità nella gestione del ricambio generazionale. Ne emerge un quadro che valorizza il ruolo del professionista – in particolare del Dottore Commercialista – quale figura di mediazione tra esigenze familiari, imprenditoriali e normative, sottolineando come la successione d’impresa non debba essere considerata un evento isolato, bensì un processo strategico per la salvaguardia e lo sviluppo del patrimonio imprenditoriale.
